AGREEMENT TO OUR LEGAL TERMS

We are RightNow AI, Inc. ("Company," "we," "us," "our"), a company registered in Delaware, United States at 131 Continental Dr, Newark, DE 19713.

We operate the website https://runinfra.ai (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

RunInfra helps developers and teams build, optimize, and deploy AI inference pipelines on managed GPUs, from open source models on Hugging Face to production REST APIs.

These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and RightNow AI, Inc., concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We will provide you with prior notice of any scheduled changes. The modified Legal Terms will become effective upon posting or notifying you via email. By continuing to use the Services after the effective date, you agree to be bound by the modified terms.

All users who are minors in their jurisdiction (generally under 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services.

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Users accessing the Services from other jurisdictions do so at their own initiative and are responsible for compliance with local laws.

2. INTELLECTUAL PROPERTY RIGHTS

Our Intellectual Property

We are the owner or licensee of all intellectual property rights in our Services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), as well as trademarks, service marks, and logos (the "Marks").

Our Content and Marks are protected by copyright, trademark, and other intellectual property laws. The Content and Marks are provided "AS IS" for your personal, non-commercial use or internal business purpose only.

Your Use of Our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print any portion of the Content for your personal, non-commercial use or internal business purpose.

Except as set out in this section, no part of the Services may be copied, reproduced, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Your Submissions

By submitting suggestions, feedback, or other content to the Services ("Submissions"), you agree that we may use, edit, modify, and redistribute Submissions for any purpose without compensation to you. You agree that you own or have the necessary rights to your Submissions.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

• All registration information you submit is truthful and accurate
• You will maintain the accuracy of such information
• You have the legal capacity to comply with these Legal Terms
• You are not under the age of 13
• You are not a minor, or if a minor, you have received parental permission
• You will not access the Services through automated or non-human means
• You will not use the Services for any illegal or unauthorized purpose
• Your use will not violate any applicable law or regulation

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account. We reserve the right to remove, reclaim, or change a username if we determine it is inappropriate.

5. PURCHASES AND PAYMENT

We accept the following forms of payment:

You agree to provide current, complete, and accurate purchase and account information for all purchases. You agree to promptly update account and payment information so that we can complete your transactions. Sales tax will be added as deemed required by us. We may change prices at any time. All payments are in US dollars.

You agree to pay all charges at the prices then in effect for your purchases and authorize us to charge your chosen payment provider. We reserve the right to correct any errors or mistakes in pricing, even if we have already received payment.

We reserve the right to refuse any order placed through the Services.

6. SUBSCRIPTIONS

Billing and Renewal

Your subscription will continue and automatically renew unless canceled. Your payment method will be charged at the start of each billing period. You may cancel at any time via your account settings or by contacting us.

Free Trial

We may offer a free trial for a limited period. If you do not cancel before the end of the free trial, your payment method will be charged for the subscription.

Cancellation

All purchases are non-refundable. You can cancel your subscription at any time by logging into your account or contacting us at jaber@runinfra.ai. Your cancellation will take effect at the end of the current billing period.

Fee Changes

We may change subscription fees at any time and will provide reasonable prior notice. Fee changes will take effect at the end of the then-current billing period.

7. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make them available. The Services may not be used in connection with any commercial endeavors except those specifically endorsed or approved by us.

As a user, you agree not to:

• Systematically retrieve data to create a collection or database without written permission
• Trick, defraud, or mislead us or other users
• Circumvent, disable, or interfere with security-related features
• Disparage, tarnish, or harm us or the Services
• Use information obtained from the Services to harass or harm another person
• Make improper use of our support services or submit false abuse reports
• Use the Services in a manner inconsistent with any applicable laws
• Engage in unauthorized framing of or linking to the Services
• Upload viruses, Trojan horses, or other malicious material
• Engage in automated use of the system beyond API rate limits
• Interfere with or disrupt the Services or connected networks
• Attempt to impersonate another user or use another user's account
• Use the Services as part of any effort to compete with us
• Use the Services to generate revenue through reselling GPU access without authorization
• Use the Services to deploy models that produce illegal content

8. USER GENERATED CONTRIBUTIONS

The Services may allow you to create, submit, post, or store pipeline configurations, model settings, prompts, and related content ("Contributions"). Your Contributions are not owned by us but by providing them through the Services, you grant us the rights described in "Contribution License" below.

You are responsible for your Contributions. By making Contributions, you represent and warrant that your content does not violate any applicable law or the rights of any third party.

9. CONTRIBUTION LICENSE

By posting Contributions to any part of the Services, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully paid, worldwide right to host, store, use, copy, reproduce, process, adapt, modify, publish, and display your Contributions solely for the purpose of providing and improving the Services.

We do not claim ownership over your Contributions. You retain full ownership of your pipeline configurations, model selections, and related intellectual property.

10. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms and to take appropriate legal action, including reporting to law enforcement, removing content, and terminating accounts at our sole discretion.

11. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.

12. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to and use of the Services to any person for any reason at any time, including for violation of any representation, warranty, or covenant in these Legal Terms, or any applicable law.

If we terminate or suspend your account, you are prohibited from registering a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party.

13. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time for any reason at our sole discretion without notice. We are not obligated to update any information on the Services. We will not be liable for any modification, suspension, or discontinuance of all or part of the Services.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time.

14. GOVERNING LAW

These Legal Terms shall be governed by and defined following the laws of the State of Delaware, United States. RightNow AI, Inc. and yourself irrevocably consent that the courts of Delaware shall have exclusive jurisdiction to resolve any dispute relating to these Legal Terms.

15. DISPUTE RESOLUTION

To expedite resolution and control the cost of any dispute, you and the Company agree to first attempt to negotiate any dispute informally for at least 30 days before initiating arbitration. Such informal negotiations commence upon written notice from one party to the other. If we cannot resolve a dispute through informal negotiation, the dispute will be resolved through binding arbitration in accordance with the American Arbitration Association rules.

16. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

17. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

18. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your Contributions, use of the Services, or breach of these Legal Terms.

19. USER DATA

We will maintain certain data that you transmit to the Services for managing the performance of the Services, as well as data relating to your use. Although we perform regular routine backups, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption.

20. YOUR MODELS AND PIPELINES

Ownership

You retain full ownership of any pipeline configurations, model selections, routing rules, and optimization settings ("Your Configurations") that you create using the Services. We do not claim any ownership rights over Your Configurations.

License to RunInfra

By using the Services, you grant us a limited, non-exclusive, worldwide license to host, store, process, and display Your Configurations solely for the purpose of providing and improving the Services. This license terminates when you delete Your Configurations or your account.

Third-Party Models

The Services allow you to deploy open source models from third-party providers (e.g., Hugging Face). Your use of these models is subject to their respective licenses (e.g., Apache 2.0, MIT, Llama Community License). You are responsible for ensuring your use complies with the applicable model license.

GPU Usage

GPU compute resources are billed based on actual usage. We reserve the right to terminate or throttle access to GPU resources if we detect abuse, unauthorized reselling, or violation of these Legal Terms.

API Output

You own the outputs generated by your deployed pipelines. We do not use your API inputs or outputs to train any models or for any purpose other than providing the Services.

Data Security

We implement industry-standard security practices including encryption in transit and at rest, access controls, and regular security audits. However, no system is 100% secure, and you are responsible for maintaining the security of your API keys and credentials.
